Access to and use of the https://automa.net site is provided by AUTOMA.NET sp. z o. o., company registration number: 0000897058 address: Małopolska 1/203, 35-620, Rzeszów, Poland. The site is subject to the following Terms and Conditions.

  1. Introduction

Welcome to Automa.Net! Use of this site constitutes your acceptance of these terms and conditions which take effect on the date on which you receive your username.

  1. Access and service

Your access to the various services available on this system depends on the level of access you select. You may change or discontinue your account at any time.

Automa.Net reserves the right to change these terms and conditions at any time by posting changes online. You are responsible for regularly reviewing information posted online to obtain timely notice of such changes. Your continued use of this site after changes are posted constitutes your acceptance of this agreement as modified by the posted changes.

Automa.Net will supply the necessary software, entry codes, and technical information for the Member to receive and transmit data to and from the Automa.Net database.

  1. System rules

You agree to be bound by certain rules that are important for the proper use of this service. Your failure to follow these rules, whether listed below in the contract or bulletins posted at various points in the system, may result in the termination of the service. First, do not tell others your password or let your account be used by anyone except yourself. Second, do not attempt to log in more than once at the same time on any given account without the specific permission of one of our operators. Third, while you should feel free to express yourself, you should respect other users of the system and not do anything to attack or injure others. Fourth, do not use our system to commit a crime, or to plan, encourage or help others commit a crime including crimes relating to computers  

5. Proprietary rights 

Information may not be copied, scraped, reproduced, republished, downloaded, posted, broadcast or transmitted in any way except for your own personal use. Information from Automa.Net must not be passed by the member for use by another company, nor can it be used for publication by the member in any form without written permission. Any other use requires the prior written permission of Automa.Net. You agree to use this site only for lawful purposes, and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of this site by any third party. Such restriction or inhibition includes, without limitation, unlawful conduct, or may harass or cause distress or inconvenience to any person and the transmission of obscene or offensive content or disruption of the normal flow of dialogue within this site.

6. Limitation of liability

In no event will Automa.Net sp z o. o. be liable for any damages including, without limitation, indirect or consequential damages, or any damages whatsoever arising from use or loss of use, data, or profits, whether in the action of contract, negligence, or other tortious action, arising out of or in connection with the use of the site. The Automa.Net does not warrant that the functions contained in the material contained in this site will be uninterrupted or error-free, that defects will be corrected, or that this site or the server that makes it available is free of viruses or bugs or represents the full functionality, accuracy, reliability of the materials.

If the system is inoperative for any reason, either locally or throughout the system, this will not be deemed a failure by Automa.Net to honour the contract. The Member will however be entitled to a rebate of monthly fees on a pro-rata basis for the time they are unable to access the system due to server faults with Automa.Net’s server, but no responsibility is accepted for failures that are beyond Automa.Net’s control, for example, a failure by the member’s Internet service provider, or Internet links outside Automa.Net’s control. Automa.Net will be entitled to fees as agreed. Fees are payable as agreed in advance, commencing with a first payment due as agreed.

7. Indemnity

You shall defend and indemnify us and hold us harmless from and against any claims, proceedings, damages, injuries, liabilities, losses, costs, and expenses (including reasonable attorneys fees), relating to any acts by you or materials or information transmitted by you in connection with our system, leading wholly or partially to claims against us or our system by other subscribers or third parties, regardless of the type of claim or the nature of the cause of action.

Automa.Net shall not be subject to any legal actions brought about by the Member or against the Member in respect of comments made through Automa.Net. It is understood that Automa.Net is not responsible in any way for the content of the information nor for the quality of products offered through the Network. Automa.Net may cancel without refund the membership of any member proven to knowingly trade in counterfeit goods.

Neither party may transfer its rights or duties to a third party without the prior written agreement of the other party. Failure to exercise any right or remedy does not signify acceptance of the event giving rise to such right or remedy.

8. Disclaimers of warranty

This site and the information, names, images, pictures, logos, and icons regarding or relating to Automa.Net, its products, and services (or to third-party products and services), are provided “AS IS” and on an “IS AVAILABLE” basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

9. Choice of law

These Terms and Conditions shall be governed by and construed by the laws of Poland. Disputes arising here shall be exclusively subject to the jurisdiction of the courts of Poland.

10. Acknowledgment

If any of these Terms and Conditions should be determined to be illegal, invalid, or otherwise unenforceable because of the laws of any state or country in which these Terms and Conditions are intended to be effective, then to the extent and within the jurisdiction which that Term or Condition is illegal, invalid or unenforceable, it shall be severed and deleted from this clause and the remaining terms and conditions shall survive, remain in full force and effect and continue to be binding and enforceable.


Full Terms & Conditions

§ 1 General Provisions

  1. The Owner and the Operator of the Platform named Automa.Net is Automa.Net Spółka z ograniczoną odpowiedzialnością based in Rzeszów, ul. Małopolska 1/203, 35 – 620 Rzeszów, entered into the register of entrepreneurs kept by the District Court in Rzeszów XII Commercial Department of the National Court Register under the number KRS: 0000897058, REGON: 388750708, NIP: 5170415671, with a share capital of 50.000,00 PLN. 
  2. In every matter related to the functioning of the Platform, the User is asked to contact electronically via e-mail address: [email protected] or by calling +48 17 778 34 19. 
  3. These terms and conditions are addressed to Users using the Platform. 
  4. These terms and conditions are specified in particular:
    • type and scope of services provided electronically, 
    • terms and conditions of Services provided electronically, including the technical requirements necessary for cooperation with the ICT system used by the Operator, 
    • conditions for conclusion and termination of the Service Agreement, 
    • conditions for conclusion of the Service Agreement, 
    • complaint procedure.
  1. Each User who uses the Platform is obliged to familiarise themselves with these Terms and Conditions and comply with its provisions. The condition to use the Platform is the acceptance of these Terms and Conditions.
  2. Each User is obliged to comply with rules of social coexistence, and generally applicable social standards, and to respect the good name and legal interest of the Operator and other Users. All activities that result in infringement of copyrights to the content published on the Platform and to the content available through the Platform are prohibited.
  3. The Operator reserves the right to delete the Account or temporarily block Services and the possibility of using the content uploaded on the Platform for Users who violate or do not respect the provisions of the Terms and Conditions, and also infringe in any way the interests of the Operator or other Users.
  4. The Platform is dedicated to companies. Other natural persons may obtain limited access to the Platform, in particular for the purpose of familiarizing themselves with the scope of services offered by the Operator and submitting a request for quotation.

§ 2 Definitions

  1. The following expressions have the following meanings: 
  • Cookies – means text files placed by the server on the User’s end device, through which the User uses the website. Cookies are IT data, including, in particular, text files stored on the User’s end device (for example in the memory of a computer, telephone, or tablet) and enable the use of the Platform. 
  • Personal Data – means any information relating to an identified or identifiable natural person, in particular, based on an identifier such as name and surname, an identification number, location data, an online identifier, or by one or more specific factors determining the physical, physiological, genetic, psychological, economic, cultural or social identity of the natural person.
  • Registration Form – means the interactive form available on the Platform, enabling the creation of an account, required to provide Personal Data by the User. 
  • Civil Code – means the Act of 23 April 1964 Civil Code. 
  • Account – means an individualized collection of ICT resources, allowing the User to use the Platform after registering on the Platform and providing necessary data.
  • Materials – means text, photos, graphics, datasheets, logos, trade names, and slogans made available on the Platform by the User. 
  • Buyer – means the User, who has an active account, logged into this account and as a result of searching Distributors’ Inventory, has made an offer. 
  • Offer –  means a proposal made by the Buyer to purchase Goods specified in the uploaded Inventory, made via the Platform as a result of searching the Inventory.
  • Membership subscription offer – means an offer to purchase a specific type of Membership made by the Operator to the User.
  • Inventory – means Goods and information prepared and uploaded by the Distributor on the Platform, specifying, in particular the type and number of Goods that the Distributor intends to sell.
  • Subscription period – period during which the paid Services included in the Membership are made available to the User.
  • Subscription fee – a periodic payment charged by the Operator for using paid Services provided to the User as part of the selected Membership, the amount of which is specified in the Price List. 
  • Catalog of Goods – means a set of data about a specific Good published on the Platform, created on the basis of Materials made available by Users on the Platform.
  • Grouped Adverts of Goods – means a list created by combining all adverts of a specific Good.
  • Webshop PPC campaign – means paid advertising campaign allowing to redirect the User from the portal or public pages to product pages at Distributor’s website. 
  • CPC (cost per click) – means a billing model used in the PPC campaign in which the Operator receives a predetermined amount for each click on a link published on the Platform or public pages, redirecting User’s to product pages at Distributor’s website. 
  • Membership – a Membership of paid Services selected and ordered by the User, provided by the Operator to the User on the Platform.
  • Platform – means online platform available at the address portal.Automa.Net maintained by the Operator. 
  • Privacy Policy – means a document containing information about the scope of data processing, rules and methods of processing personal data of those who are using the Platform and rights of these people. Privacy Policy is available on the website Automa.Net.
  • Distributor – means a User, who has an active account, logged into its account, and has the possibility to upload its stock inventory on the Platform to sell Goods.
  • Company – means an entity that buys Components or/and keeps stock of Components, in particular Distributors, Brokers/Dealers, Wholesalers, Webshops, Marketplaces, and System integrators. A Company have the status of Distributor and/or the Buyer in the Platform or the Agreement.
  • Terms and Conditions – means these Terms and Conditions, are available on the website Automa.Net.
  • Goods – means the Distributor’s products offered on the Platform that might be the subject of the Agreement.
  • Offer procedure – means the procedure for concluding the Agreement, consisting of the independent selection of the Buyer by the Distributor from among the Offers submitted in response to the Distributor’s Inventory.
  • Service Agreement – means a contract for the provision of electronic services between the Operator and the User in connection with the use of the Platform on the terms specified in the Terms and Conditions. 
  • Agreement – means a sales contract between the Distributor and the Buyer on the basis of an offer made by the Buyer to the Distributor, as well as on the basis of the quote created by the Distributor (in response to the buyer’s request for quotation) and accepted by the Buyer. 
  • Order – an order placed by the Buyer via the “accept and pay” option on the Platform, requiring confirmation of execution by the Distributor
  • Service – means the services provided electronically by the Operator to the User via the Platform. 
  • User – means the Company’s representative that has an account, and uses Services provided by the Operator on the Platform. 
  • Special Offer – the feature that allows to publicly share what parts or machines the Company has a special offer on or items that the Company wants to sell in bulk. 
  • Payment Service Provider – online payment provider. Information about available Payment Service Providers is provided on an ongoing basis in the payment regulations
  • Deal – Each agreement initiated by making a request for proposal through the Platform or externally but transferred to the Platform’s DEALS dashboard, regardless of the successful execution of the Agreement.

§ 3 Basic conditions of using the Platform

  1. The Platform allows users to upload, search Inventory and conclude an agreement between Users. To eliminate any doubts, the Operator declares that it is not a party to such Agreement, does not interfere with the terms of such agreements, and does not participate in their implementation.
  2. The Operator uses „Cookies” files which are saved by the Operator’s server on the hard disk of the User’s end device when the User uses the Platform. The use of „Cookies” files is intended to correct the proper functioning of the Platform on the User’s end device. This mechanism does not destroy and does not cause any configuration changes in the User’s end device or the software installed on these devices. Each User can disable „Cookies” files in the browser of its end device. The Operator indicates that disabling Cookies may cause problems in the use of the Platform or impossible to use the Platform. 
  3. To use the Platform it is necessary for Users to:
    • have an active company’s email on the company’s domain; 
    • have an active account; 
    • have a device with internet access such as a PC, laptop, or mobile device such as a tablet or smartphone, equipped with:
      • Windows operating system in the latest version or 3 versions back; 
      • Android operating system in the latest version or 3 versions back, 
      • the iOS operating system in the latest version or 3 versions back, 
    • use one of the following browsers:
      • Firefox operating system in the latest version or 2 versions back, 
      • Google Chrome operating system in the latest version or 2 versions back, 
      • Safari operating system in the latest version or 2 versions back, 
      • Microsoft Edge operating system in the latest version or 2 versions back,
  1. The Platform is responsive and dynamically adapts to every screen resolution.
  2. The Operator is not a provider of data transmission services. The costs of data transmission are required to conclude the Service Agreement and to use the services provided within the Platform, also the costs of voice calls are covered by Users on their own, on the basis of separate agreements concluded with telecoms operators or other ISP.
  3. The Operator will make every effort to ensure that data transmission over the internet as part of using the Platform is safe, it means that the information is sent with the confidentiality, entirely and completeness of the transmitted data. 
  4. The Operator declares that regardless of its actions taken to secure the Platform, due to the public nature of the internet, Users should take into account the risk of obtaining and modifying their data by unauthorised persons. Users should also, to increase the security of their equipment and data, use appropriate technical measures that will minimise the above mentioned threats by using antivirus and identity protection programs while using the internet. 
  5. The Operator shall not be liable for technical problems or technical limitations in the User’s hardware or internet connection used by the User, which prevents the User from using the Platform. 
  6. The Operator declares that if the Platform needs maintenance or changes to its operation, some or all functionalities may be temporarily unavailable. 
  7. The Platform may contain hyperlinks to other websites managed by a third party, inc. User’s websites or online stores. The User uses the third-party resources at its own risk. The Operator is not responsible for the accuracy, timeliness, and completeness of the data contained on the third party’s websites, which can be accessed via hyperlinks. The User after clicking the hyperlink is obliged to familiarise himself with the third party’s terms and conditions and privacy policy.  
  8. The Platform is available 24 hours per day, 7 days a week.

§ 4 Services provided by the Operator within the Platform

  1. Services are provided according to these Terms and Conditions. 
  2. The Platform allows to:
    • contact the Operator;
    • register and open an account; 
    • use the search engine on the portal (Portal.Automa.Net) by logged in Users;
    • use the system to upload and search the Inventory;
    • introducing announcements about the desire to purchase specific Goods,
    • establishing dedicated commercial conditions with specific Companies in relation to the entire offered Inventory or its designated part;
    • establishing dedicated payment conditions with specific Companies;
    • create and manage the User’s company profile in the company directory;
    • conducting correspondence with the Distributor or Buyer via the Platform,
    • conclude the Agreement between Users, also by enabling the use of the functionality of the Buyer’s declaration of purchase by selecting the “accept and pay” option and confirming the order by the Distributor,
    • submitting questions about the method of using the Platform or the principles of its operation, and communication in the above scope will be conducted during working hours using the tawk.to tool, the principles of operation of which are specified at: https://www.tawk.to/legal/
    • using an external supplier of the Operator to make settlements with other Companies under the terms set out in these Terms and Conditions.
  3. The Platform allows the User to use the following services:
    • Account Service, including Registration form which allows registering an account; 
    • Newsletter Service; 
    • using the platform in the scope of Membership the Company on behalf of which he acts.
  1. A detailed description of the services offered is available on the Platform. It may change as the scope of the Operator’s offer develops. 
  2. The User, as part of the Membership, depending on the selected Membership, may use the following functionalities:
    • RFQ – Request For Quotation. Sending inquiries; 
    • Goods search engine, available only to Users; 
    • Search engine of other Companies; 
    • A page allowing for the introduction of rules of cooperation with other Companies – „Settings”;
    • A page for inventory management – the User may add its inventory through manual export or automatic (FTP or sFTP) or API. The User has to use the completed form available on the website or on the homepage of the Platform in the dedicated tab; 
    • A page for introducing announcements about the desire to purchase specific Goods,
    • A page allowing the introduction of Special Offers,
    • A page enabling the establishment of dedicated commercial terms, including payment terms and delivery terms, in relation to specific Companies established using the Platform,
    • Uploading and searching the Inventory,;
    • Publishing the Goods that the User uploads on the Platform in the popular search engine such as Google or Bing – service „Public Search RFQ”;
    • Set up an automatic response to the request of quotations using rules settings and AI,
    • Create quotes automatically using provided inventory data,
    • DEALS API – This service gives access to the following functionalities:
      • Inventory-API – allows to send, edit, and delete inventory in real-time; 
      • Search-API – allows users to search and receive search results in the User’s infrastructure in real-time.
    • Webshop PPC campaign – allows Users who have an active “Webshop PPC” add-on to publish links redirecting to product pages on their websites. Links can be displayed in search results generated using the search engine portal.automa.net available only to logged-in users.
  3. The possibility of using of Webshop PPC campaign depends on a separate agreement between the Operator and the User indicated in par. 8 sec. 14 and having an active “Webshop PPC” add-on. 
  4. The possibility of using and the scope of functionalities other than the Webshop PPC campaign referred to in Sec. 5 depends on the selected and paid Packages of Membership indicated in § 5 below. 

§ 5 Packages

  1. On the Platform the Operator offers Users a choice of one of the following Packages:
    • Standard; 
    • Business; 
    • Enterprise;
    • Enterprise +;
    • Premium
  2. Specifications of each type are specified on the subpage https://automa.net/membership/ 

§ 6 Account

  1. Registration requires opening an Account. Registration of an Account is free. 
  2. The Company has the right to possess only one active Account on the Platform. 
  3. As part of the Account, the Company is allowed to share its inventory on the Platform.  
  4. To register the Account the Company is obliged to complete and correctly fill in the Registration form available on the website: portal.Automa.Net/register by providing the required data, and then clicking the „register” button. 
  5. To register the Company is providing the following data:
    • company name; 
    • name and surname of the person making the registration; 
    • email address on the company domain; 
    • User’s website; 
    • telephone number;
    • Tax identification number or another registration number depending on the country of registration;  
    • country. 
  6. Registration and opening an Account requires prior acceptance of the Terms and Conditions by the Company and  the User. The right checkbox is available in the Registration form.
  7. The Operator shall notify the User within 24 hours of the submission of the Registration Form of positive or negative verification via email, to the address provided by the User in the Registration Form. Together with the information of positive verification, the Operator will send the User a link to generate a password. 
  8. When registering the Account, as well as using the Platform, the User should provide true, accurate, complete, and not misleading data. The Operator does not verify the accuracy of the data provided by the User. The Company is solely responsible for the veracity of the data provided during the registration, and when using the Platform, including Personal Data, both for itself and third parties. When the Company provides personal data of third parties, the Company declares that he has the appropriate authorization/consent of these persons to provide such data, including personal data, and to conclude the Service Agreement. 
  9. The Company’s email address provided in the Registration form is associated with the Account and will be used for any correspondence connected with the provision of Services. The Company accepts the necessity to hold a valid and active email address.
  10. Upon confirmation of the registration process by the Company , the Account Service Agreement is concluded, provided that the Company has fulfilled the terms and conditions required by these Terms and Conditions.
  11. The Account Service Agreement is concluded for an indefinite period of time, subject to § 7 of the Terms and Conditions. 
  12. The Company  can delete its Account at any time, without naming any reason by submitting a unilateral statement to the Operator’s e-mail: [email protected]. Deleting the Account is tantamount to the termination of the Agreement. § 17 of these Terms and Conditions shall apply accordingly. 
  13. The Operator reserves that if the termination of the Account Service Agreement would take place during the Subscription Period, The Account Service Agreement will terminate at the end of the Subscription Period. 
  14. The User is obliged to keep the password to its account securely and not disclose it to any third party. The User is obliged to immediately notify the Operator of any unauthorised use of its Account to the email: [email protected].
  15. In the event of a change in the data provided during the registration process, the Company  is obliged to update the data on the Platform via the Account.
  16. The Operator reserves the right to delete the Account or block the use of the Account for Companies or Users who violate or do not accept this Terms and Conditions, Privacy Policy, as well as violate in any way the interest of the Operator or third parties, as well as when the User:
    • during the Registration provides false, outdated, misleading data or infringing the rights of third parties;
    • has violated the personal rights of Users and third parties through the Platform; 
    • has committed other acts violating any applicable laws, rules, and rights of these Terms and Conditions. 
  17. In the case referred to in sec. 15 the User is not entitled to demand a refund of the paid Subscription Fee, to which the User fully agrees and waives any claims, including future claims, related to the above.

§ 7 Trial Period

  1. After registering the Account, the User is automatically entitled to use for free Services referred to in § 4 sec. 3 of these Terms and Conditions and functionalities referred to in § 4 sec. 5 p. 1)-6) of these Terms and Conditions to the full extent during the 14-day trial period (hereinafter referred to as the „Trial Period”). 
  2. The Operator does not charge any fees during the Trial Period.
  3. The User may terminate the use of the Trial Period at any time during the term thereof. If the User does not terminate the use of the Services during the Trial Period, the Trial Period will expire automatically. 
  4. After the Trial Period ends, the access to the Account will be blocked by the Operator. If the Membership Agreement is not concluded with The Operator, unblocking the Account depends on the Operator’s decision. To unblock the account the User has to contact the Operator via email at [email protected]

§ 8 Membership Agreement, Webshop PPC campaign

  1. After the Trial Period ends, the Operator will send the Membership subscription offer to the User’s email address provided during the Registration. The User also has access to the current Membership subscription offer available on the User’s account under the ‘Upgrade Account’ button.
  2. Information about Memberships posted on the Platform is an invitation to conclude the Membership Agreement.
  3. Acceptance of the Membership subscription offered by the User is performed through submitting a declaration of acceptance of this offer by e-mail to the Operator’s e-mail, from which Membership Subscription Offer was sent, and by paying the invoice on time and in the amount resulting from the Membership Subscription Offer. Acceptance of the Membership Subscription Offer by the User results in the conclusion of the Service Membership Agreement. 
  4. While submitting a declaration of acceptance of the Operator’s Membership Subscription Offer, the User declares that it has read the Terms and Conditions and fully accepts its provisions.
  5. After accepting the Membership Subscription Offer, the User will receive an email to its mailbox which contains the final confirmation of the conclusion of the Membership Agreement, which shall contain information incl.:
    • the type of selected Membership and products or services purchased separately in accordance with the Operator’s offer specified on the subpage https://automa.net/membership/
    • the period for which the Membership Agreement is concluded; 
    • the number of people entitled to use the Account; 
    • information that the Terms and Conditions are an integral part of the Membership Agreement; 
    • other terms and conditions of the Membership Agreement. 
  6. The Membership Agreement is concluded for the duration of a specified Subscription Period related to the selected Membership.
  7. Any amendments, supplements to the Memberships Agreement, as well as any notifications, or declarations made by the parties should be made in writing or the documentary form under the pain of nullity unless the parties have agreed otherwise.
  8. The consolidation, securing and disclosure of data and terms and conditions of the Membership Agreement takes place via email. 
  9. In the event of discrepancies between the Membership Agreement and the Terms and Conditions, provisions of the Membership Agreement shall prevail.
  10. Acceptance of the Offer and payment of the Subscription Fee results in the activation of the Membership and access to the Account.
  11. Access to the Account with the selected Membership is granted within 12 hours from the receipt of the declaration of acceptance of the Operator’s offer. The Subscription Period is counted from the date of access to the Account. 
  12. The Company is entitled to use certain functionalities available on the Platform, depending on the Membership subscription purchased.  
  13. The Company has the right to terminate the Membership Agreement without naming any reason, with a one-month notice period. The Operator reserves that if the termination of the Membership Agreement would take place during the Subscription Period, The Membership Agreement will terminate at the end of the Paid Subscription Period. 
  14.  The User is allowed to join the Webshop PPC campaign at any time by sending an request to Operator’s e-mail: [email protected]
  15. In respond to the request indicated in sec. 14, the Operator is sending the Webshop PPC campaign individual offer to the User. Acceptance of the offer is tantamount to joining the Webshop PPC campaign. Acceptance of the abovementioned offer by the User is performed through submitting a declaration of acceptance of this offer by e-mail to the Operator’s e-mail from which the offer had been sent. 
  16. After accepting the Webshop PPC campaign individual offer, the User will receive an email to its mailbox which contains the final confirmation of joining the Webshop PPC campaign together with a reporting dashboard. After accepting the Webshop PPC campaign individual offer the Operator activates the Webshop PPC campaign add-on.
  17. The User has the right to leave the Webshop PPC campaign at any time without naming any reason by deactivating the Webshop PPC campaign. To deactivate, User needs to send an email to [email protected], deactivation of the add-on will happen up to 7 days. Rejoining the Webshop PPC campaign requires resending the request in accordance with sec. 14. The procedure indicated in sec. 14-16 is repeated.
  18. The User and the Operator hereby declare that they exclude the application of art. 66 (1) of the Civil Code.

§ 9 Uploading and searching the Inventory

  1. A logged-in User as part of the Membership may upload Inventory on the Platform, as well as search Components.
  2. The Inventory is prepared independently by Distributors. The Operator is not responsible for the content uploaded by the Distributor. The Inventory uploaded by the Distributor should be consistent with the factual and legal status – The Operator is not responsible for the veracity and reliability of the availability and descriptions of the Goods offered by the User.
  3. The Distributor uploads the Inventory by using the appropriate template available from the Account Interface. Instructions for uploading the Inventory are available on the following website: https://help.automa.net/category/inventor.
  4. The Distributor may:
  1. The uploaded Inventory is not binding and does not oblige the Distributor to choose the Offers submitted in response to its Inventory. The Inventory is an invitation to conclude an agreement. 
  2. In case of any doubts as to the topicality of the Inventory or other issues related to the transaction, description, and availability of the Goods, the Buyer should contact the Distributor who uploaded the Inventory. 
  3. By uploading the Inventory, the Distributor agrees to the transfer of his personal data necessary to submit the Offer.  
  4. The Operator has the right to delete the Inventory if its content violates the provisions of the Terms and Conditions and generally applicable law, as well as when the Distributor does not respond to the Buyers’ Offer. The Distributor will be notified of the above by email to the email provided in the Account. 
  5. The Operator creates the Catalog of Goods using Materials posted in Adverts by Distributors. Catalog of Goods is created only for informational purposes, it is not the Advert.
  6. The Operator is using the functionalities grouping Adverts of the Good on the Platform. The order among the Grouped Adverts of Goods is displayed according to the following criteria:
  1. based on the time of updating the Advert by the Distributor;
  2. based on the type of Package owned by the Distributor posting the Advert;
  3. based on the quality of matching the text searched by the User to the text contained in the Advert.
  1. The order in which other than grouped Adverts are displayed is based on the criteria indicated in sec. 10 of this paragraph.
  2. Promotion of specific Adverts depends on the type of purchased Package under which the promotion service is available. The order in which the promoted offers are displayed is based on the criteria indicated in sec. 10 of this paragraph.
  3. Distributors can publicly share what parts or machines the Company has special offers on or items that the Company wants to sell in bulk, as part of the Special Offers feature in the Platform. 
  4. Distributors are entitled to offer individual Buyers or groups of Buyers, according to their preferences and selection, special price offers, which will be published on the Platform only to Buyers selected by the Distributors, as part of the Trade Relations feature in the Platform.

§ 10 Agreement

  1. The Operator is not a seller, distributor, producer, nor the party of the transactions concluded between Users. The Operator only publishes the inventory and information about the User on the Platform.
  2. The Agreement is concluded in the Offer procedure. The rules of the Offer Procedure are determined by the Distributor. 
  3. As part of the Offer procedure Buyers can submit the Offers to the Inventory uploaded by Distributors by submitting the Offer to the address and in the form indicated by the Distributor.
  4. Regardless of sec. 2, the Operator provides Users with the following tools enabling them to conclude the Agreement via Platform:
  1. tool to request for quotation of specified Goods,
  2. tool to quote and send the quote in response to an inquiry,
  3. tool to accept or reject the quote,
  4. tool for communication between Distributor and Buyer via chat available on the Platform.
  1. The Operator enables Users, i.e. parties to contracts concluded on the Platform, to adjust the Offer via the “Request a quote” function active when making a purchase. Communication takes place via chat (the future in the Platfiorm that allows to direct communication between Companies). 
  2. Submitting a request for a quote allows you to finalize the order (by confirming further purchase steps), and thus postpone the purchase until the final terms of the Offer are determined and confirmed between the Distributor and the Buyer.
  3. In response to the submitted request for quotation, the Distributor indicates whether modification of the Offer is possible and submits to the Buyer a new Offer for the Product adapted to the Buyer’s request for quotation.
  4. The Buyer’s acceptance of a personalized Offer is tantamount to concluding a contract by the Buyer for the purchase of a modified Product offered by the Distributor.
  5. Once the Distributor accepts the Offer of the Buyer who submitted it to the Distributor’s Advert, or once the Buyer accepts the quote, an Agreement is concluded with the content specified in the Advert and in the Offer or in the quote as well as the arrangements between the Distributor and the Buyer unless otherwise stated in the Advert or the Distributor’s arrangements with the Buyer.
  6. The conclusion of the Agreement and the transaction between Users takes place on the terms specified by the parties or by the User in its terms and conditions and by generally applicable law. If the validity of the Agreement depends on additional requirements provided for by the law, the Distributor and the Buyer should take immediate action to meet them. 
  7. The confirmation of concluding the Agreement between Users via the Platform shall be sent to the parties of the Agreement automatically by email. Such a confirmation has informational purposes only. In the abovementioned email, parties of the Agreement shall receive the data currently provided in their Account i.e. name, surname, email address, address and billing details. Regardless of the above, the confirmation of concluding an Agreement shall be available in their Accounts, in the tab “Deals”.
  8. The Operator does not provide payment services to Users and does not intermediate in the settlement between Users to any extent and at any stage. The Operator does not come into possession of any transfer details or funds being paid due to the Distributor from the Buyer in connection with the Agreement at any stage.In order to improve the exchange of payments, the Operator provides within the Platform the possibility of using external services on the basis of the Payment Regulations (which constitute Appendix no. 1 to this Terms and Conditions), which have been appropriately integrated with the Platform.
  9. The Operator declares that is not responsible for:
    • conclusion of the Agreement, delivery of the Goods and the course of the transaction; 
    • under the warranty and/or guarantees related to the Goods and the Agreement; 
    • for non-performance or improper performance of the obligations by the parties to the Agreement; 
    • for the quality and legality of the Goods; 
    • for the unavailability of the Goods or other obstacles on the Distributor’s side.

§ 11 Agreement concluded by “Buy now” option

  1. The Operator is not a party to contracts for the sale of Products concluded between Users and does not guarantee that the Distributor and the Buyer are entitled to conclude and perform the contract.

2. The Platform provides for the possibility of entering in the Offer data enabling the conclusion of a sales transaction between the Distributor and the Buyer, i.e. information on the product price, delivery time, and settlement data. The platform also enables the exchange of information and agreement on the terms of the Agreement via an internal chat.

3. The Buyer concludes an agreement with the Distributor, confirming the purchase using the “accept and pay” or “confirm order” button, provided that the Agreement and its terms are confirmed by the Distributor. The order requires confirmation by the Distributor within 1 business day. If the order is not confirmed within the period referred to in section 3 above, the order will be canceled.

4. If the order placed by the Buyer is accepted, the Buyer undertakes to pay for the Item, and the Distributor undertakes to transfer ownership of the Item. For the avoidance of doubt, the Operator is not a party to this agreement.

5. The Buyer can pay the Distributor directly or use the payment method from among the methods available within the Platform specified in Payment Regulations (which constitute Appendix no. 1 to this Terms and Conditions) or other methods expressly permitted by the Payment Service Provider for a specific Transaction, and the Distributor undertakes to accept payments from Buyers for Transactions using these payment methods.

6. The Payment Service Provider does not provide Users with any payment services and does not, to any extent or at any stage, mediate in the settlement of accounts between Users (Distributors and Buyers), and at no stage does it take possession of funds due to the Distributor under the Transaction.

7. After completing the Order placement process, the Buyer will become a party to the contract between the Buyer and the Distributor. Both the Buyer and the Distributor acknowledge that the Buyer’s submission of an order creates a legally binding contract between the Buyer and the Distributor based on:

a) description and photos of the Item,

b) terms agreed between the Buyer and the Distributor and

c) appropriate conditions contained in these Regulations.

8. Purchases are made at the sole risk of the Companies. The Operator will not offer any buyer protection services in relation to such transactions.

9. The confirmation of concluding the Agreement between Users via the Platform shall be sent to the parties of the Agreement automatically by email. Such a confirmation has informational purposes only. In the abovementioned email, parties of the Agreement shall receive the data currently provided in their Account i.e. name, surname, email address, address and billing details. Regardless of the above, the confirmation of concluding an Agreement shall be available in their Accounts, in the tab “Deals”.

§ 12 Customer Review

  1. The Operator provides possibility to publish Customers review on the Platform based on a rating system, both in a descriptive and graphic form, in order to express by Users their subjective opinions about the course of the transaction and the performance of the Agreement.
  2. The graphical evaluation allows the Buyer to evaluate the performance of the contract by the Seller on a scale of 1 to 5 in terms of the following parameters:
  • Availability
  • Lead time
  • Customer service
  • Price
  1. The review is always assigned to a particular Account. The User is responsible for the content of published reviews and responses.
  2. The content of the ratings and answers is public information, available to all Users of the Platform.
  3. The User’s review shall not violate applicable law, including the rights of third parties – in particular, it shall not be defamatory, infringe personal rights or constitute an act of unfair competition. Reviews and responses should be consistent with the actual course of the Transaction and may not contain profanity, obscene, pornographic or inciting to spread hatred, racism, xenophobia or otherwise violate the legal order or good manners.
  4. The Operator does not interfere with the content of reviews and responses, however, it reserves the right to remove or block the possibility of issuing them in justified cases when:
  •  violates the provisions of the Terms and Conditions in particular sec. 9 of this paragraph,
  • review does not apply to the transaction made between Users, if their content clearly indicates a mistake, or if the Users report and prove lack of such transaction.
  1. By posting a review, the User agrees to its free use by the Operator and publishing it on the Platform, as well as its modification in the above-mentioned scope.

§ 13 Payments

  1. Using the Services is payable under the terms and conditions specified in the price list available on the Platform in the tab  https://Automa.Net/membership/ (hereinafter referred to as „Price list”). 
  2. Membership Subscription entitles the User to use the Services falling within the scope of the Membership purchased for a period of one month or 12 months. 
  3. The User is obliged to pay the Subscription Fee in advance for the entire Subscription Period in the amount resulting from the Price list on the basis of an invoice issued by the Operator.
  4. The invoice may be paid in one of the following ways:
    • by transfer to the bank account specified by the Operator within the time limit indicated on the invoice, 
    • with the use of the Stripe payment operator’s website, by selecting one of the available payment methods. Information on current payment methods is available on the payment operator’s website at: https://www.stripe.com/.
  5. If the User does not pay a payment within 14 days from the date of issuing the invoice by the Operator, the Operator has the right to block the User’s Account until the User pays the Subscription Fee. 
  6. 30 days before the end of the Subscription Period, the Operator will notify the User via the Platform about the necessity of paying for the next Subscription Period. 
  7. If the User decides to extend the subscription, the new Subscription Period will be counted from the day following the end of the previous Subscription Period. 
  8. If the User does not pay for the next Subscription Period, after the expiry of the current Subscription Period, access to the Account will be blocked. 
  9. The User declares that he accepts VAT invoices issued and sent electronically in pdf format (without signature). At the request of the User, the invoice is also sent by post to the address indicated by the User within 30 days from the date of delivery of this request. 
  10. Regardless of the Subscription fees, the Operator charges the Distributor for each click on the link redirecting to product pages at Distributor’s website posted on the Platform (CPC).
  11. Regardless of the Subscription fees, the Operator charges the Distributor for each Deal when the Distributor exceeds the Deals allowance in their membership package. The up to date fees are always listed at the pricing page of Automa.Net.
  12. The amount of the one-time fee referred to in sec. 10 depends on individual arrangements between the Distributor and the Operator according to par. 8 sec. 14-16.
  13. The remuneration for each click in a given month will be paid on the basis of a collective VAT invoice issued by the Operator on the first day of the following month and sent to Distributor’s e-mail. Provisions of sec. 4-5 of this paragraph shall apply accordingly.
  14.  The Distributor may grant the Operator permission to charge automatically for each click by charging the credit card added by the User to its account. 
  15. In case of inability to charge the credit card the Operator will issue an invoice according to sec. 12 of this paragraph.
  16. Before issuing an invoice indicated in sec. 12 the Operator will sent to Distributor e-mail the information about the number of clicks during the month. Abovemention information is also available on the Distributor’s account and is automatically updated every hour.
  17. The Operator may introduce changes in the amount of subscription fees, or CPC minimum prices specified in the price list available on the subpage https://automa.net/membership/. Information on price changes will be published on the Platform at least 14 days before the planned introduction of changes. Changes do not affect the price of an already purchased subscription for a given period.

§ 14 Payment processing costs

The payment processing costs is charged to the Operator each time the contract is concluded as part of the Transaction using a payment method provided on the Platform by the Payment Service Provider. The amount of the payment processing costs depends on the final price or type of the Goods and contractual conditions with the Company, including the selected Package. The payment processing costs are collected on the terms described in the Payment  regulations (which constitute Appendix no. 1 to this Terms and Conditions). 

§ 15 Complaints regarding services provided electronically

  1. Any claims for incorrect performance of the Service Agreement by the Operator should be reported to the Operator via e-mail: [email protected].   
  2. The User will receive the confirmation of submitting the claim to the e-mail address provided during the registration of the Account. 
  3. Submitting a complaint should include name and surname, User name, e-mail address, in the case of using the Platform via mobile devices the name and the model of the device on which the problem with the functioning of the Platform occurred, as well as the name and the version of the operating system installed on this device, as well as a brief description of the problem.  
  4. Correctly submitted complaints will be considered immediately.
  5. The Operator will inform the User about the method of consideration of the complaint via email.
  6. If the data or information provided in the complaint need to be supplemented, the Operator asks the User to supplement them before considering the complaint. The time of providing additional explanations by the User extends the period of considering the complaint. 
  7. If the Operator finds the submitted complaint justified the User has the following rights:
    • Extending the subscription for a period corresponding to the period of unavailability of the service.
  8. In the event of complaints concerning the services provided by the third parties including those related to making payments through a Payment Agent, the User should submit a complaint directly to the third party providing the services. In this case, complaints are considered by these entities on the terms and the manner specified in their terms and conditions. 

§ 16 Obligations of the User

  1. Users are obliged to use the Platform in accordance with applicable law, these Terms and Conditions as well as the principles of social coexistence including general rules of using the internet as well as with respect for the rights of third parties and the Operator.      
  2. The User is obliged not to provide illegal or offensive content, the content of which transparency has been excluded, content that violates the personal rights of third parties, incites to commit a crime, as well as vulgar statements or in any way violate applicable social and moral norms, rules of social coexistence on the Internet (netiquette), as well as advertising content without the prior consent of the Operator. In particular, it is forbidden to:
    • disrupt, block, overload, interrupt, slow down, hinder the normal functioning of all or part of the Platform; 
    • publish materials and content violating the rights of third parties including intellectual property rights; 
    • publish vulgar materials and content, or containing profanity or content generally regarded as offensive;
    • promote totalitarian regimes and symbols related to them, inciting hatred or committing a crime; 
    • publish and use personal data of other people and their images without legal grounds; 
    • deliver malware;
    • interfere in any way with the content and appearance of the Platform; carry out reverse engineering processes in the field of reverse engineering, decompilation, disassembly, decryption, disassembly, translation, deconstruction, adaptation, and the use of other methods of discovering the source code or interfering with the Platform in any other way;
    • undertake spamming activities as well as activities qualifying as an act of unfair competition or unfair market practice; 
    • publishing links to pages and files containing any of the abovementioned content. 
  3. Users are obliged to immediately notify the Operator of any violations (or threat of violation) of their rights or the rights of third parties in connection with the use of the Platform. All notifications should be reported via email: [email protected].
  4. The User is not allowed to interfere in any way with the content and appearance of the Platform.
  5. The Operator reserves the right to claim damages to compensate for damages, which arise in connection with the User’s failure to comply with the Terms and Conditions. The above is independent of civil liability towards third parties and criminal liability which may arise in such cases.
  6. Each User has an FTP folder with login data assigned to the Account, which should be particularly protected by the User. The Operator is not responsible for the loss of data contained in the FTP folder in the event of their loss or removal by the User or third party. 
  7. The User is not allowed to use web scrapping tools to download any data from Portal.Automa.Net portal or Automa.Net public pages. The User can do so via the official Automa.Net API.

§ 17 Responsibility of the Operator

  1. The User or the Company  uses the Platform voluntarily.
  2. The Operator shall not be liable or responsible to Companies or  Users or third parties for any damages related to the use of data contained on the Platform or inability to use the Platform, regardless of the reason. The Operator excludes its liability towards Companies or  Users for damages resulting from lack of continuity in the provision of services, including those resulting from circumstances for which the Operator is not responsible or liable (e.g. force majeure, DDoS attacks, unavailability of infrastructure resulting from the fault of the hosting provider or the platform itself).
  3. The Operator is not liable or responsible for the malfunction of the User’s devices resulting in the inability to use the Platform, as well as for the consequences of non-compliance with the technical requirements referred to in § 3 sec. 2 of the Terms and Conditions by the Users and End Users.
  4. The Operator’s liability or responsibility towards the User, who suffered damage in connection with using the Platform and/or in connection with the service provided by the Operator is limited only to the actual damage and does not include lost profits and to the amount of the remuneration received by the Operator from the User for using the Platform. 
  5. The Operator conducts ongoing supervision over the technical functioning of the Platform, ensuring its correct operation, but does not guarantee that the Platform will be error-free and that it will operate without disruption.
  6. The Operator is not liable for:
    • using the Platform by the User in a manner that is contrary to the Terms and Conditions, in particular, is not liable for damages caused as the result of providing untrue data and information by the User;
    • effects resulting from the use of a login and a password to the Account by the third parties, which may consist of the implementation of instructions submitted via the Platform by an unauthorised person;
    • technical limitations or problems in ICT systems used by Users’ devices that prevent or restrict Users from using the Platform;
    • loss of data caused by hardware, IT system failure or other circumstances independent of the Operator;
    • any damages or viruses that may infect hardware or any other property of the User as a result of accessing the Platform or downloading any content from the Platform.
    • any failure or delay (including but not limited to the use or inability to use any part of the Platform);
    • unsatisfactory quality and performance of the Platform.
  1. The Operator ensures availability of Services provided via the Platform at the level of 99% except for pre scheduled technical breaks and technical breaks notified at least 7 days in advance, about which will inform by displaying relevant messages on the Platform or via email.
  2. The Operator declares that it does not provide any guarantees and warranties as to the accuracy or content of any Inventory and content published on the Platform that the User downloads from the Platform, or whether any content or Materials will be available. The Operator also declares that it does not provide guarantees and warranties as to the purchase of defective or counterfeit products via the Platform – the Operator is not liable or responsible for the above.

§ 18 Copyrights

  1. The Operator has all intellectual property rights to the Platform and its individual parts, therefore the use of the Platform in a manner or for a purpose inconsistent with the Terms and Conditions or the provisions of generally applicable law is prohibited and results in the User’s liability to the Operator.
  2. It is indicated in particular that:
    • the program (including the source code), on which the operation of the Platform is based and its interface (graphic and functional layer seen by the User), also all graphic elements,  multimedia, and creative functional elements of the Platform are subject to copyright protection; 
    • The protection of confidentiality as part of the protection of know-how and business secrets covers all elements of the Platform, including the ideas and solutions used on the Platform.
  1. Upon commencing the use of the Platform, the Operator grants the User  a non-exclusive, free, non-transferable licence i.e. without the right to grant sublicense to use the Platform in accordance with its intended purpose. The licence is granted only to the extent resulting from the Terms and Conditions and does not authorise the User to use the Platform for purposes other than those specified in the Terms and Conditions. Performance of the Service Agreement includes making the Platform functionalities available to its Users via the Internet or other computer networks, mobile networks, and in any other way including via telecommunications or satellite to provide Services, improve the functioning of the Platform, develop the Platform, exchange information, promote and advertise, as well as part of Services provided by the Operator to third parties. 
  2. In addition, privileges referred to in sec. 3, the User has no right to reproduce, sell or otherwise market or distribute the Platform in whole or in part, in any form, in particular, transmit or make available in computer systems and networks, or any other communication and information systems.
  3. By using the Platform, the User is obliged to provide the Operator and publish on the Platform his materials or Materials for which he has an appropriate legal basis, including in particular photos, graphics, visualisations, and projects that will be provided as part of the performance of the Service Agreement, in particular, he undertakes to have all proprietary copyrights and industrial property rights to them, to the extent that their placement on the Platform and their use by the Operator does not violate any rights of third parties.
  4. The User declares that:
    • has all rights including proprietary copyrights, related rights, industrial property rights including in particular protection rights to the trademarks, the right to register industrial designs, to Materials published on the Platform or provided to the Operator to perform the Service Agreement, and that the use of this content will not infringe the rights of third parties;
    • gives consent to disseminate its image by the Operator, and in the case of using any images of third parties on the Platform, declares that obtained the appropriate consent of these persons for such dissemination of their image, and informed them about publishing their image on the Platform before such publishing or providing to the Operator;
    • gives consent to disseminate Materials and information about the User on the Platform and in Operator’s promoting and marketing materials; 
    • Once Materials are published, the User grants the Operator a free, non-exclusive, unlimited in time and territory licence to use intellectual property rights, including proprietary copyrights to works within the meaning of the Act on Copyright and Related Rights, i.e. Materials in order to perform the Service Agreement. The User grants the Operator a licence in the above scope in the following fields of exploitation:
      • use, display, transfer, and storage of Materials regardless of format, system, or standard;
      • right to permanent or temporary fixation or reproduction of Materials in whole or in part by any means and in any form, regardless of the format, system or standard, including entering into computer memory and permanent or temporary fixation or reproduction of such records, including making copies thereof and any use and disposing of these copies, also by recording and making copies on any kind of paper, electronic, magnetic or optical media;
      • right to disseminate, including entering records of Materials into the memory of computers and computer network servers, including those generally available such as the Internet and via telecommunications networks (including the Internet and GSM networks) in any way and using any technology, in particular by disseminating in a way that everyone can have access to Materials at a place and time chosen by them and other methods of exploitation in telecommunications networks, regardless of the possible methods of limiting access;
      • public display and presentation, including through the mechanisms of automatic playback of Materials on the websites;
      • placing on the market recording media of all kinds, as well as publishing publications based on Materials or with their use;
      • creating new versions and adaptations (translation, adaptation, modification or any other changes);
      • the right to public dissemination of Materials;
      • the right to disseminate, including saving the Materials into the memory of computers and computer network servers, including those generally available such as the Internet, and to make them available to users of such networks;
      • transferring or transmitting Materials between computers, and servers, by all kinds of means and techniques;
      • the authorization to derive and make modifications of Materials as well as the disposal and use of such studies in all fields of exploitation specified in this agreement;
      • using the Materials for any purpose, including for marketing, promotion, advertising, sponsorship, and sales promotion, as well as for the designation or identification of products and services and other activities, as well as for educational or training purposes.
  1. is fully entitled to grant a licence to the Operator, based on the conditions described above, as well as to use the content and images on the Platform by publishing, presenting, promoting and advertising them on the Platform.
  2. gives consent to make the derivative work of Materials by the Operator and to use such derivative work to the extent to which the Operator is entitled to use Materials and to grant further consents to the extent corresponding to the licence granted to the Operator.
  3. gives consent to exercise the moral rights to Materials by the Operator and declares that it will not exercise these rights in relation to the Operator and entities to which the Operator will grant further licences.
  4. The User retains all personal rights and titles related to Materials published by him unless transfers the rights to them under a separate agreement. The User also retains the right to use, reproduce and distribute Materials on his own.
  5. In the event of an infringement of rights of third parties as a result of the User’s actions, the Operator – at the request of authorised bodies (e.g. a common court) – is obliged to disclose and provide all information about the infringing User.
  1. The User shall immediately enter into any dispute and satisfy or lead to the withdrawal or dismissal of all claims regarding infringement of intellectual property rights and/or protection right for a trademark/logotype, or other rights of third parties, which will be used under the Service Agreement. If the Operator is obliged to compensate the damage caused to a third party in connection with such breach, the User is obliged to reimburse the amount of the benefit paid by the Operator in full, together with all costs incurred by the Operator for conducting the case, including expenses, court costs, and costs of legal representation, and to compensate the damage incurred by the Operator in these respect.
  2. The User may use any information and materials published on the Platform only through the Platform unless the Operator decides otherwise. The content and materials available on the Platform may be marked by the Operator with a digital watermark. The Operator takes the necessary technical and organisational measures to secure Services provided via the Platform, in particular, to prevent the unlawful acquisition of Users’ Personal Data by third parties.
  3. The Platform is a database within the meaning of the Act of 27 July 2001 on the protection of databases and is also protected under copyright law as independent works. Users entering their content and Materials on the Platform do not become co-creators of the database. It’s not allowed:
    • repeated and systematic downloading or re-using of information from the database, contrary to normal use and resulting in an unjustified violation of the Operator’s legitimate interests;
    • repeated and systematic downloading or re-using contrary to normal use and resulting in an unjustified violation of the legitimate interests of the database producer – the Operator;
    • copying parts of the database beyond normal personal use.

§ 19 Newsletter

  1. The Newsletter subscription service is provided free of charge by the Operator to Users who voluntarily consent to it during the registration or during the term of the Service Agreement.
  2. Subscription to the Newsletter may be ordered by registering at Automa.Net.
  3. Newsletter Service Agreement is concluded for an indefinite period of time upon registration.
  4. The User may terminate the Newsletter Service Agreement at any time by deactivating the subscription. The cancellation of the Newsletter takes place by sending such declaration of will to the email: [email protected] or via the appropriate link in the footer of each message sent as part of the Newsletter.

§ 20 Termination of the Agreement

  1. To exercise the right to terminate the Service Agreement the User is obliged to notify this by submitting a notice that may be sent by e-mail to: [email protected].
  2. The Operator will immediately confirm to the User via email (provided during the registration of the Account) receipt of the termination notice of the Service Agreement.
  3. In the event of termination, the Operator returns to the User a part of the Subscription fee corresponding to the period by which the Subscription Period was shortened due to the User’s resignation from further services within the Membership.
  4. Subject to the remaining provisions of the Terms and Conditions, the Service Agreement may be terminated by the Operator  with immediate effect, when:
    • The Distributor uploads the Inventory in which he offers to purchase defective or counterfeit Goods or sells such Goods to the Buyer; 
    • The User violates the provisions of the Terms and Conditions and/or the Privacy Policy; 
    • It was found that the User provided false, outdated, incorrect, or incomplete data or statements or data of  other persons;
    • The actions or omissions of the User have a negative impact on the Operator’s good name or brand, or otherwise significantly harm the Operator. 
  5. Terminations of the Service Agreement by the Operator in the cases referred to in sec. 4, do not entitle the User to a refund of the paid Subscription Fee or CPC which the User fully accepts. 
  6. In other cases than indicated in sec. 4, the Operator is entitled to terminate the Service Agreement with a 14-day notice period without naming any reason. 

§ 21 Data privacy protection

Detailed information related to collecting and processing personal data is available in the Privacy Policy.

§ 22 Amendments to the Terms and Conditions

  1. The Operator may amend the Terms and Conditions for important legal or technical reasons in the following cases:
    • amendments to legal regulations having a direct impact on the provisions of the Terms and Conditions;
    • imposing certain obligations by governmental authorities;
    • enhancing the protection of Users’ privacy;
    • amendments to the Privacy Policy;
    • preventing abuse;
    • security/safety considerations;
    • technological and functional changes;
    • changes in the scope of services provided;
    • editorial changes.
  1. Such an amendment shall become effective within a period not shorter than 14 days from the time the Operator informs about amendments to the terms and conditions by publishing it on the Platform. During this time, the User should accept the planned amendments to the Terms and Conditions or refuse to accept them by sending an e-mail to the address: [email protected]
  2. If the User does not accept planned amendments to the Terms and Conditions the Agreement expires within one month from the date of notifying the Operator about the refusal to accept those amendments. In this case, until the termination of the Agreement, the current Terms and Conditions shall apply. § 17 shall apply accordingly.
  3. If the User does not submit a declaration of refusal or acceptance before the expiry of the deadline indicated above, it is considered that the User has accepted the amendments to the Terms and Conditions without reservations upon the expiry of this period.
  4. The Operator may amend the Terms and Conditions without 14-day period, referred to above, with an immediate effect, if:
    • it is subject to legal or regulatory obligations, under which it is obliged to amend the Terms and Conditions in such a manner that prevents it from keeping the above-mentioned 14-day notification period,
    • It must by way of an exception amend the Terms and Conditions to counteract unforeseen and immediate threats related to the protection of online intermediation services, Users against fraud, malware, spam, breach of data, or other cybersecurity threats.

§ 23 Dispute Resolution

  1. In all disputable issues, the applicable law is Polish law and jurisdiction lies with the Polish court. 
  2. Any disputes arising between the Operator and the User will be settled firstly amicably. 
  3. Settlement of any disputes arising between the Operator and the User will be submitted to the court having jurisdiction over the Operator’s seat. 

§ 23 Final Provisions

  1. In all matters not regulated by these Terms and Conditions, the relevant provisions of Polish law shall apply, in particular the provisions of the Civil Code, the Act of Providing Services by Electronic Means and the Act on copyright and related rights – in the currently applicable versions.
  2. The User is not entitled to transfer any rights or obligations under the Agreement to a third party without the Operator’s prior consent in writing, otherwise null and void.
  3. If any of the provisions of these Terms and Conditions are considered invalid or ineffective, the remaining provisions shall remain in full force and effect. The invalid or ineffective provisions of these Terms and Conditions will be replaced by provisions that are legally valid and fully effective, as well as the most similar.
