Automa.Net Request Board Terms and Conditions

Access and Use: Access to and use of the https://automa.net site is provided by AUTOMA.NET sp. z o. o., company registration number: 0000897058, address: Małopolska 1/203, 35-620, Rzeszów, Poland. The site is subject to the following Terms and Conditions.

Acceptance of Terms: By ticking the checkbox “I agree to the Terms & Conditions & Fees” and submitting your quote, you acknowledge that you have read, understood, and agreed to be bound by these terms and conditions.

Fee Transparency and Calculation Examples

Automa.Net charges service fees to both buyers and sellers as follows:

  • Seller Fee:
    • 2.5% of the order amount up to 50,000 EUR.
    • 1% of the order amount exceeding 50,000 EUR.
  • Buyer Fee:
    • 5% of the order amount up to 25,000 EUR.
    • 3% of the order amount between 25,001 EUR and 50,000 EUR.
    • 1% of the order amount exceeding 50,000 EUR.

These fees support the AutomaPAY Escrow service, which provides secure transaction processing and protects both buyers and sellers by holding funds until the buyer confirms receipt of goods.

Example Scenarios:

  1. Seller Example:
    • If a seller completes an order worth 60,000 EUR:
      • The fee would be 2.5% on the first 50,000 EUR = 1,250 EUR.
      • The fee would be 1% on the remaining 10,000 EUR = 100 EUR.
      • Total Seller Fee: 1,350 EUR.
  2. Buyer Example:
    • If a buyer makes a purchase of 60,000 EUR:
      • The fee would be 5% on the first 25,000 EUR = 1,250 EUR.
      • The fee would be 3% on the next 25,000 EUR = 750 EUR.
      • The fee would be 1% on the remaining 10,000 EUR = 100 EUR.
      • Total Buyer Fee: 2,100 EUR.

Commission for Basic Account Holders Customers using a “basic” account are subject to the following fixed commission rates when conducting transactions through the Request Board:

  1. Seller Commission (Basic Account): 10% of the total order amount.
  2. Buyer Commission (Basic Account): 5% of the total order amount.

Payment Terms

Payment of the service fee will be handled through the following process:

  • Seller: An invoice will be issued at the end of each month for all completed orders during that month, with a 7-day payment term. Payment details will be provided on the invoice.
  • Buyer: The AutomaPAY Escrow fee will be included in the order document, along with the value of goods and shipping costs. The buyer will receive an invoice from Automa.Net for the total amount paid.

Order Process

  • The buyer adds a request to the Request Board and begins receiving quotes from Automa.Net.
  • Once the buyer decides on one or more quotes, they send a purchase order, and Automa.Net will generate an order document, including the value of goods, shipping costs, and the AutomaPAY Escrow fee.
  • The buyer must pay the full amount as detailed in the order document.
  • Upon receiving the payment, Automa.Net will connect the buyer with the seller.
  • The seller will then ship the goods to the buyer and issue an invoice for the value of goods and shipping.
  • Automa.Net will issue an invoice to the buyer for the AutomaPAY Escrow fee.
  • As part of the AutomaPAY Escrow service, Automa.Net will only release the payment for the goods to the seller once the buyer confirms receipt of the shipment.

Quote Submission

Each quote must be submitted through the Automa.Net Request Board interface or via email to [email protected] with the quote attached in PDF, XLS, or XLSX format. The quote must include the reference number of the request. All fields must be completed accurately and truthfully. Quotes that contain only contact details and no actual quote will not be forwarded to the buyer. Automa.Net reserves the right to reject any quote that contains incomplete or inaccurate information.

Confidentiality

All details provided in the quote request are confidential and are shared with you under the condition that they will not be disclosed to third parties. You agree to handle all information with the utmost care and confidentiality.

Disclosure of Identity

The identity of the company requesting the quote will be shared with you after you submit your quote. You agree not to disclose this information to any third parties.

Acceptance of Quotes

The requesting company has the discretion to accept or reject any quote submitted. Automa.Net is not responsible for the acceptance or rejection of quotes.

Additional Order Channels

If a purchase order is received via phone, email, or any other means from a company you quoted on the Request Board, it still constitutes an order initiated on Automa.Net, and the applicable service fee will be charged.

Order Confirmation

Whenever you complete an order, you need to send the purchase order to [email protected] if the purchasers haven’t included this email in their purchase order.

Dispute Resolution

Automa.Net, through its AutomaPAY Escrow service, strives to ensure that all transactions on our platform are smooth and satisfactory for both buyers and sellers. However, in the event of a dispute, the following process will apply:

  1. Initial Resolution Attempt:
    • If there is a dispute regarding the quality, condition, or delivery of goods, the buyer and seller should first attempt to resolve the issue directly within 7 days of receiving the goods.
    • Both parties are encouraged to communicate openly to reach a mutually satisfactory resolution.
  2. Escalation to Automa.Net:
    • If the dispute cannot be resolved directly between the buyer and seller, either party may escalate the issue to Automa.Net by submitting a dispute form through the platform.
    • Automa.Net will review the details of the dispute, including any documentation provided by both parties, and will mediate to help reach a resolution through the AutomaPAY Escrow service.
  3. Timeline for Resolution:
    • Automa.Net aims to resolve disputes within 30 days of receiving the dispute form.
    • During this period, Automa.Net may request additional information or documentation from either party to assist in the resolution process.
  4. Payment Hold:
    • If a dispute is raised, Automa.Net, under the AutomaPAY Escrow service, will hold the payment for the goods in question until the dispute is resolved.
    • Automa.Net will only release funds to the seller once the buyer confirms receipt and satisfaction with the goods, or if a resolution is reached in favor of the seller.
  5. Final Decision:
    • Automa.Net’s decision on the dispute, facilitated through the AutomaPAY Escrow service, will be final and binding on both parties.
    • If the dispute is resolved in favor of the buyer, the buyer may receive a refund or replacement goods, depending on the circumstances.
    • If resolved in favor of the seller, the held payment will be released to the seller.
  6. Non-Confirmation of Receipt:
    • If the buyer does not confirm receipt of the goods within 7 days of delivery, and no dispute is raised, Automa.Net will consider the transaction complete and will release the payment to the seller under the AutomaPAY Escrow service.
  7. Governing Law:
    • All disputes will be governed by the laws of Poland and subject to the exclusive jurisdiction of the courts in Poland.

Shipping and Delivery Responsibility

  1. Seller’s Responsibility:
    • The seller is responsible for arranging the shipment of goods to the buyer unless otherwise agreed upon by both parties.
    • The seller must provide accurate shipping details, including tracking information, to the buyer as soon as the shipment is dispatched.
    • The seller is responsible for ensuring that the goods are appropriately packaged to prevent damage during transit.
    • Risk of loss or damage to the goods passes to the buyer upon handover to the carrier, unless otherwise agreed.
  2. Buyer’s Responsibility:
    • The buyer is responsible for providing accurate delivery details and for receiving the goods at the designated address.
    • The buyer is encouraged to inspect the goods upon delivery and notify the seller immediately if there are any issues or discrepancies.
    • The buyer is responsible for any shipping insurance if required or desired, unless otherwise agreed upon with the seller.
  3. Automa.Net’s Role:
    • Automa.Net acts as a facilitator for transactions and is not responsible for the shipment, delivery, or condition of goods in transit.
    • Automa.Net will not be held liable for any damage, loss, or delay during shipping.
    • Any disputes related to shipping or delivery must be resolved directly between the buyer and seller, with Automa.Net providing mediation through the AutomaPAY Escrow service if necessary, as outlined in the Dispute Resolution section.
  4. Insurance Recommendations:
    • It is recommended that the party responsible for shipping arranges appropriate insurance coverage for the goods in transit to mitigate the risk of loss or damage.

Anti-Fraud Measures

Automa.Net, through its AutomaPAY Escrow service, is committed to ensuring the security and integrity of transactions conducted on our platform. To prevent fraudulent activities, we have implemented the following measures:

  1. Identity Verification:
    • We require all users to verify their identity before engaging in transactions on Automa.Net. This may include verifying business credentials, contact information, and payment methods.
  2. Monitoring and Detection:
    • Automa.Net actively monitors transactions for signs of fraudulent activity. This includes tracking unusual transaction patterns, IP addresses, and other indicators of potential fraud.
  3. User Reporting:
    • Users are encouraged to report any suspicious activity or potential fraud they encounter. Reports can be made through our platform’s support system, and they will be promptly investigated.
  4. Consequences of Fraud:
    • If fraud is detected, Automa.Net reserves the right to suspend or terminate the accounts involved, withhold payments, and take legal action if necessary. Additionally, any transactions suspected of being fraudulent may be blocked or reversed.
  5. Cooperation with Authorities:
    • Automa.Net cooperates with law enforcement and regulatory authorities in cases of suspected fraud, providing necessary information and support to aid investigations.

Data Protection and Privacy

Automa.Net is committed to protecting the privacy and personal data of our users. Our data protection practices are designed to comply with the General Data Protection Regulation (GDPR) and other relevant privacy laws.

  1. Data Collection and Use:
    • We collect personal data necessary for the operation of our platform, including user registration, transaction processing, and communication. This data is used solely for these purposes and will not be sold or shared with third parties without consent, except as required by law.
  2. Data Storage and Security:
    • Automa.Net employs industry-standard security measures to protect user data from unauthorized access, disclosure, or alteration. This includes encryption, secure servers, and regular security audits.
  3. User Rights:
    • Users have the right to access, correct, or delete their data at any time. Requests can be made through our platform’s support system. Automa.Net will respond to such requests by GDPR requirements.
  4. Data Retention:
    • Personal data is retained only as long as necessary for the purposes for which it was collected or as required by law. After this period, data will be securely deleted or anonymized.
  5. Privacy Policy:
    • Our full Privacy Policy, which details how we handle user data, is available on our website. By using Automa.Net, users agree to the terms outlined in this policy.

Limitation of Liability

Automa.Net will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Request Board.

Indemnification

You agree to indemnify and hold harmless Automa.Net and its affiliates, officers, agents, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your violation of these terms and conditions or your violation of any law or the rights of a third party.

By using the Request Board and submitting a quote, you affirm that you have read and understood these terms and conditions and agree to be bound by them.
